Terms of Service

basefloor is operated by Smoshy Inc.("Smoshy", "we", "us"), a Delaware corporation. Smoshy Inc. is the merchant of record for all transactions on basefloor.

1. Acceptance of Terms

By accessing or using basefloor (the "Service"), you agree to be bound by these Terms of Service (the "Terms"). If you don't agree, don't use the Service. These Terms form a legal agreement between you and Smoshy Inc.

2. Accounts & Eligibility

You must be at least 18 years old to create an account or to use the Service in any capacity, whether as a teacher or a student. basefloor is not intended for anyone under 18, and we do not knowingly permit minors to create accounts, enrol in classes, or appear in live sessions. If we learn that an account belongs to someone under 18, we will terminate it.

You are responsible for keeping your account credentials secure and for all activity that happens under your account.

3. Teacher Terms

As a teacher, you retain ownership of the content you create, teach, and broadcast on basefloor. You grant Smoshy Inc. a non-exclusive, worldwide licence to host, stream, and display your content on the Service for the purpose of operating and promoting basefloor.

You are responsible for what happens in your own sessions. If a participant violates these Terms during a class you are teaching, you must remove them from the session and report the violation to us.

Smoshy Inc. charges a platform commission on paid classes. Net revenue from your classes, less applicable commission, fees, and refunds, is paid out to you periodically. We may update payout cadence from time to time; current payout practices are described on our Pricing page.

4. Student Terms

Enrolling in a class grants you access to attend that class's live session(s) and, where available, the recording of that session. Enrolments are personal to you and may not be shared or resold.

Refunds for paid classes are considered on a case-by-case basis, including for teacher cancellations and technical failures on our end. Contact us within 7 days of the session to request a refund.

5. Payments & Fees

Smoshy Inc. is the merchant of record for all transactions on basefloor. Payments are processed by Stripe, Inc. By making a purchase, you agree to Stripe's terms in addition to ours. A small processing fee is added to the teacher's listed class price at checkout.

6. Prohibited Conduct

You may not use basefloor to: (a) teach or promote illegal activity; (b) harass, threaten, or discriminate against any person; (c) share, broadcast, or display sexually explicit content, including in a live video feed (see Section 7); (d) infringe any third party's intellectual property rights; (e) attempt to reverse-engineer, scrape, or disrupt the Service; or (f) do anything else that's unlawful or that Smoshy Inc. determines, in its reasonable discretion, is harmful to the platform or its users.

7. Live Video Conduct

Classes on basefloor are live. When your camera is on, everyone else in the session sees you in real time, and sessions may be recorded.

If you turn your camera on, dress as you would for an in-person class in the same subject — athletic and revealing clothing is fine for movement and fitness classes. What isn't permitted is exposure of intimate body parts, whether deliberate or through clothing that is sheer, unfastened, or displaced. Sexually suggestive posing, gestures, or framing are not permitted in any class. Nothing sexually explicit may appear in your camera feed, your screen share, your background, or your virtual background.

Do not broadcast anyone who has not agreed to be on camera. If other people are in your space, keep them out of frame or turn your camera off.

Teachers may remove any participant from a session, or disable a participant's camera, at any time and for any reason. Smoshy Inc. may do the same, and may suspend or terminate an account for a violation of this section without prior warning. Violations involving a minor will be reported to the appropriate authorities.

Teachers may set additional attire or camera expectations for their own classes, provided they are stated on the class page before enrolment.

Report anything that violates this section to [email protected] or through the in-session report control.

8. Intellectual Property

The basefloor name, logo, and the Service itself (including all software, design, and text not contributed by teachers) are owned by Smoshy Inc. and protected by copyright, trademark, and other laws. Nothing in these Terms transfers those rights to you.

9. Disclaimers & Limitation of Liability

The Service is provided "as is" without warranties of any kind, express or implied. Smoshy Inc. does not guarantee the accuracy, quality, or educational value of any content on basefloor — that responsibility rests with the individual teachers. To the fullest extent permitted by law, Smoshy Inc.'s total liability under these Terms is limited to the amount you paid Smoshy Inc. in the twelve months preceding the claim.

10. Termination

You can close your account at any time. We can suspend or terminate your account if you violate these Terms or if we're required to do so by law. On termination, your right to use the Service ends immediately; provisions that by their nature should survive termination (ownership, disclaimers, liability limits) will continue to apply.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
